Dissolution and Liquidation

The dissolution of a business entity terminates its existence.
The three basic types of dissolution are:

  1. Voluntary dissolution, by vote of the shareholders
  2. Administrative dissolution, usually by a state official for a failure to file reports or pay fees or taxes
  3. Judicial dissolution, usually by court order and based on deadlock, dissension, fraud or oppressive conduct
